Vendor Terms (Seller Agreement)

These Vendor Terms ("Seller Agreement") govern your use of Deshi as a vendor and form a binding agreement between you and AKERSEL AS, the operator of Deshi. They apply in addition to the general Terms & Conditions. By registering a vendor account or listing products, you accept this Seller Agreement.

1. Acceptance and eligibility

By creating a vendor account you confirm that you are a registered business (or a sole proprietor) lawfully able to sell the products you list, that the information you provide is accurate and complete, and that the person registering is authorised to bind the business. You must keep your business, contact, and payout details up to date.

2. Your relationship with Deshi

Deshi is a marketplace operated by AKERSEL AS. As a vendor you act as an independent seller: you are the seller of record for your products and are solely responsible for them. Nothing in this agreement creates an employment, agency, partnership, or joint-venture relationship between you and AKERSEL AS.

3. Vendor account and team

A vendor account has one owner and may include staff members with limited roles (products, orders, inventory). You are responsible for all activity under your account and for the actions of your staff. New vendor accounts and staff may require approval before they can sell, and Deshi may decline or revoke approval at its discretion.

4. Product listings and content

You are responsible for the accuracy of your listings, including titles, descriptions, prices, images, country of origin, units, ingredients, and nutritional information. You must own or have the right to use all content you upload and must not infringe third-party intellectual property. Listings must not be misleading and must comply with applicable labelling rules, particularly for food and cosmetics.

5. Pricing and taxes

You set your own prices, which must be inclusive of applicable VAT and any other taxes unless stated otherwise. You are responsible for determining, collecting where required, reporting, and remitting all taxes arising from your sales. The prices and product details captured at the time a customer places an order apply to that order.

6. Orders and fulfilment

You must fulfil accepted orders promptly and ship the items you sell. Fulfilment is tracked per item: an order is only complete when all of its items are shipped. You are responsible for safe packaging, accurate dispatch, providing tracking where available, and meeting reasonable delivery expectations. You must keep stock levels accurate to avoid overselling.

7. Commission and payouts

Deshi charges a commission on each sale (by default 10% of the item's gross amount, unless otherwise agreed for your store). For each order, your payout is the gross amount of your items less the applicable commission. Payouts are calculated per vendor and settled through the platform's payment process. You authorise Deshi to deduct commission and any applicable refunds or chargebacks from amounts owed to you.

8. Prohibited and restricted products

You must not list or sell products that are illegal, unsafe, recalled, counterfeit, or that you are not authorised to sell. Restricted categories — including certain foods, supplements, cosmetics, and age-restricted goods — must comply with all applicable safety, import, and labelling requirements. Deshi may remove any listing that breaches these rules.

9. Compliance and responsibility

You are responsible for complying with all laws applicable to your products and sales, including consumer-protection, product-safety, food-safety, import, and data-protection law. You warrant that your products are safe, accurately described, and fit for sale to consumers in the markets you serve.

10. Returns and customer service

You must handle returns, cancellations, refunds, and customer enquiries for your products in accordance with your stated policy and customers' statutory rights. Where a customer is entitled to a refund or remedy under applicable law, you must honour it. Deshi may facilitate communication and, where necessary, refunds.

11. Suspension and termination

You may close your vendor account at any time, subject to completing outstanding orders and obligations. Deshi may suspend, restrict, or terminate your account or remove listings — including for breach of this agreement, legal or safety concerns, fraud, or repeated customer complaints. Obligations relating to open orders, payouts, taxes, and liability survive termination.

12. Liability and indemnity

As the seller of record, you are responsible for your products and your conduct on the platform. To the extent permitted by law, you agree to indemnify AKERSEL AS against claims, losses, and costs arising from your products, listings, or breach of this agreement. AKERSEL AS's liability to you is limited as set out in the general Terms & Conditions and applicable law.

13. Changes to this agreement

Deshi may update this Seller Agreement from time to time. Material changes will be communicated through the vendor dashboard or by other reasonable means. Your continued use of Deshi as a vendor after changes take effect constitutes acceptance of the revised agreement.

14. Governing law

This Seller Agreement is governed by the laws of Norway. Disputes are subject to the jurisdiction of the competent Norwegian courts, unless applicable mandatory law provides otherwise.
